Terms

Terms of service

These terms are the agreement between you and Oopsie Technologies for the use of Vendorroll. They are written to be read. By creating an account or using the service you agree to them.

Last updated: 23 October 2026 · Effective: 30 September 2026

What Vendorroll is

Vendorroll is a web application for managing third-party vendors: recording them, asking them for documents and questionnaire answers, routing approvals, and keeping the record. It suggests details read from uploaded documents using AI. It is a tool for your compliance work, not legal, audit or compliance advice, and it does not certify that any vendor or document meets any standard.

Accounts and workspaces

  • You sign in with a one-time email code or a Google account. Keep access to that email or account to yourself; what is done through your sign-in is treated as done by you.
  • A workspace belongs to an organisation. The person who creates it becomes its administrator and may invite others and give them roles. If you create or join a workspace for an organisation, you confirm you are allowed to act for it.
  • Administrators are responsible for who has access to their workspace and which role each person holds.
  • Tell us promptly at privacy@oopsie.tech if you think your account or a vendor portal link has been misused.

Your data

  • It stays yours. You own what you put into Vendorroll — vendor details, documents, answers, notes and decisions. We do not claim ownership of it.
  • What we may do with it. You give us permission to store, process and display it as needed to run the service for you, including sending it to the subprocessors listed in our privacy policy and sending email to the people you ask us to email. We do not sell it.
  • You have the right to upload it. You confirm that you may give us the vendor and contact information and documents you upload, and that you have told the people concerned what is needed under the law that applies to you. For that data you are the controller and we are the processor, as the privacy policy explains.
  • Getting it out. While your account is active you can export what the product lets you export. On request we will delete your workspace as the privacy policy describes.

Using the service acceptably

You agree not to:

  • break the law, or use Vendorroll to do or plan something unlawful;
  • upload malware, or content you do not have the right to share;
  • try to reach another organisation's data, or bypass the permissions, limits or protections of the service;
  • probe, scan or load-test the service without our written permission;
  • use the service to send spam, or to email people who have no relationship to the request being made;
  • resell the service or use it to build a competing product from it;
  • upload files other than the PDF, PNG or JPEG documents the product accepts, or files that are unreasonably large.

We may suspend access that breaks these rules, and will tell you why where we can.

AI suggestions

Dates, document types, issuers and contract terms read by AI are suggestions with a confidence score. They can be wrong or incomplete. Check anything you rely on against the document itself. You remain responsible for the decisions you make with Vendorroll.

Plans, trial and renewal

  • Plans. Vendorroll is a paid subscription, priced by the number of suppliers you track. The current plans and prices are on our pricing section. Every plan includes every feature and unlimited team members.
  • 14-day free trial. A card is required to start. If you cancel before day 14 you are not charged. If you do not cancel, the plan you chose starts and your card is charged.
  • Automatic renewal. A subscription renews automatically at the end of each month or year, at the price then shown, until you cancel. We will tell you by email before a price change takes effect.
  • Cancelling. You can cancel at any time. Cancelling stops the next renewal, and your access continues to the end of the period you have paid for. Refunds are covered on our refunds page.

Fees, taxes and payment

  • Prices are in US dollars. Taxes such as VAT or GST are added at checkout where they apply.
  • Payments are processed by our payment partner, who acts as the seller of record. We never see or store your card number; the partner does. Our privacy policy says what information is shared with them.
  • If a payment fails we will tell you, and may suspend access until it is paid.
  • Enterprise customers may agree custom terms and invoice billing with us in writing. Those terms apply instead of this section where they conflict.

Availability

We work to keep Vendorroll running, but we do not guarantee that it will be available without interruption or free of errors. We may change features over time and will try to tell workspace administrators first when a change matters. Keep the originals of your documents: do not treat Vendorroll as the only copy of a record you cannot lose.

Our responsibility to you

We take care of the service and of your data, as the security page describes, including what we do not have yet. The law that applies to you may give you rights that cannot be taken away, and nothing here does that. Beyond that, to the extent the law allows:

  • we are not liable for indirect or consequential loss, or for lost profits, lost business or lost data;
  • our total liability to you for anything arising from the service is limited to the amount you paid us in the 12 months before the event; and
  • we do not promise that Vendorroll will meet any legal, regulatory or audit requirement you have.

Nothing in these terms limits liability that cannot be limited by law, such as for fraud.

Ending your use

  • You can cancel your subscription at any time (see above), and ask us to delete your workspace by emailing privacy@oopsie.tech.
  • We can suspend or end your access if you break these terms, if we must by law, if a payment is not made, or if we end the service. Where we can, we will tell you first and give you a reasonable time to take your data.
  • When your use ends, your data is handled as the privacy policy says. The parts of these terms that are meant to last — ownership, responsibility, and the law that governs them — do.

Changes to these terms

If we change these terms in a way that matters, we will update the date at the top of this page and email workspace administrators before the change takes effect. If you keep using Vendorroll after that, you accept the new terms.

Governing law

These terms are governed by the laws of India.
